Board Update
Critica Limited (ASX: CRI) (“Critica”or“the Company”) provides the following Board update in relation to future
Board changes and the next phase of its corporate development.
The Board confirms that following completion of the upcoming Jupiter and Mt Lindsay Scoping Studies, Jamie
Byrde has advised the Board of his intention to step down as Executive Director, Chief Financial Officer (CFO)
and Company Secretary (CoSec) as part of a planned and managed transition. Mr Byrde’s resignation as
Executive Director will take effect on 26 October 2026.
Mr Byrde will remain as CFO and CoSec in his current 0.6 FTE capacity while the Company undertakes a search
for a replacement Chief Financial Officer and Company Secretary. He will assist with an orderly handover and
continue to support completion of the upcoming scoping studies with Jacob Deysel and the team.
The Company has initiated a search process to appoint a replacement CFO and CoSec and will also commence
a search for a Non-Executive Director to further strengthen the Board’s, independence, skills, governance
capacity and strategic oversight.
Following the appointment of a replacement CFO and CoSec and a Non-Executive Director, the Board intends to
undertake a broader review of the Company’s corporate and organisational structure. This review will consider
the skills, capability and structure required to support Critica Limited through its next phase of development and
is expected to be announced ahead of the Company’s 2026 Annual General Meeting.
Jacob Deysel will continue in his current role as Chief Executive Officer, with a clear focus on delivery of the
Company’s operational and project workstreams, including the pending Jupiter Rare Earths Project and Mt
Lindsay Tin-Tungsten Project scoping studies.
During this important and pivotal time for Critica, Non-Executive Chairman Tim Lindley will provide additional
support and services to accelerate external stakeholder engagement, strategic partnership discussions and
broader funding and collaboration options with prospective government, industry and financial partners in
Australia and internationally.
Critica’s CEO Jacob Deysel commented:
“Critica is entering an important period with two scoping studies approaching completion and a number
of strategic engagement opportunities continuing to advance. I will remain focused on delivery of the
Company’s operational and project workstreams, while the Board progresses the leadership,
governance and organisational steps outlined in this update.”“ I would like to thank Jamie for his work to
date at Critica and also for supporting the team over the coming months in delivering the two scoping
studies.”

“On behalf of the Board, I would like to thank Jamie for his tremendous and significant contribution
Critica since joining as Chief Financial Officer and Company Secretary in March 2017. Jamie will
continue to support the Company through to his departure date to ensure a planned and orderly
transition.”
“We are commencing searches for a replacement CFO and Company Secretary and a Director as part of
a measured approach to strengthening Critica’s corporate capability. In the interim, I will increase my
engagement with external stakeholders and strategic partners to help progress opportunities aligned
with Critica’s rare earths and critical minerals strategy.”
